Grant Gulovsen focuses on corporate, transactional, securities, and data security and privacy matters. He also advises clients with respect to employment and bankruptcy matters.
Mr. Gulovsen has particularly deep experience representing emerging technology companies, including in relation to cryptocurrency and other blockchain subject matter. Mr. Gulovsen regularly counsels distributed ledger technology clients in respect of token sale strategies designed to minimize legal and regulatory risk. He has significant experience drafting and negotiating token sale agreements, token warrants, simple agreements for future tokens (SAFTs), and related instruments. He is well-versed in U.S. and international laws and regulations applicable to digital assets, including the Securities Act of 1933, the Securities Exchange Act of 1934, and the Bank Secrecy Act, as well as global privacy laws such as the GDPR and CCPA.
Mr. Gulovsen has interacted directly with multiple regulatory bodies, including the U.S. Securities and Exchange Commission’s Office of Strategic Hub for Innovation and Financial Technology (FinHub), the U.K. Financial Conduct Authority, and the European Blockchain Regulatory Sandbox.
Mr. Gulovsen serves as outside general counsel and legal advisor to dozens of companies in the decentralized finance (DeFi), non-fungible tokens (NFTs), blockchain gaming, and software-as-a-service (SaaS) spaces.
Mr. Gulovsen spent the first ten years of his legal career practicing employment and commercial litigation. He tried multiple jury and bench trials to verdict, and argued cases before the Illinois Appellate Court for the Third District.
Before entering private practice, Mr. Gulovsen served as Director of Information Services at the University of Illinois College of Law, where he oversaw technological systems and data operations. Prior to entering the private work force, he served as a Sergeant in the U.S. Army.
